Multimedia Games shareholders approve $1.2B acquisition

The shareholders of Multimedia Games Holding Co. on Wednesday overwhelmingly approved its $1.2 billion merger with a Las Vegas company

The approval enables Austin-based Multimedia Games to finalize its Sept. 8 agreement with Global Cash Access Holdings Inc. and Movie Merger Sub Inc., a division of GCA, according to a filing with the U.S. Securities and Exchange Commission

Multimedia Games, founded in 1987, develops video casino slot machine games. It employs 470 workers

In September, the company agreed to be acquired by Global Cash. Las Vegas-based GCA makes ATMs and cash-advance kiosks

It plans to acquire all the outstanding common stock of Multimedia Games for $36.50 per share in a transaction scheduled to close in early 2015

At the special meeting, 26.1 million shares of the company's common stock, representing 87.9 percent of outstanding shares entitled to vote, were present in person or by proxy, the SEC filing indicates
